Corporate matters
Choosing the right vehicle, partner agreements, management decisions, and ordering the relationship between owners before a dispute starts.
A partners’ dispute does not begin on the day it erupts. It begins on the day an agreement is drafted that does not answer the hard questions: who manages, who signs, how are profits split, and what happens if one of them wants out, dies, or defaults.
This service is about ordering the relationship between the owners and the entity before any dispute: choosing the legal form that suits the activity, drafting the constitutive documents and their annexes, setting management and signature powers, and spelling out exit and dispute-resolution mechanics.
It also covers reviewing an existing entity: checking that the register matches reality, reviewing resolutions and minutes, and fixing what needs fixing before it turns into a matter before a court.

Questions about this service
A template handles the minimum. Disputes usually arise in the areas it leaves out: powers, exit, and what happens when a partner defaults. Those clauses are added to suit the business.
The current position can be reviewed and the agreement and resolutions brought into line with the law and with what the partners actually agreed. That is far easier than dealing with it after a dispute.
The position is reviewed first in terms of activity and licensing requirements, then it is explained what can be handled contractually and what needs a step before a competent authority.
The next step
A contract, a claim, or a dispute that needs a decision?
Send a short description of the matter and the documents that matter, and we will settle the type of service and the right route with you before anything begins. Sending a request does not mean an engagement has been accepted or that work has started.
